We assist in private equity and venture capital (domestic and foreign) funds for their investment in
companies in India. We also advise on various private equity and venture capital funds in their initial
set up and constitution in India.
Our Scope of work include:
- Formulating and advising on the most effective structure for investment in India, in alignment with
strategic and commercial objectives;
- Conducting a comprehensive legal due diligence on the target, including corporate, regulatory,
litigation, real estate, intellectual property, and providing a comprehensive report on findings;
- Drafting, negotiating and reviewing the transaction documents viz., share subscription agreements,
shareholders’ agreements, share purchase agreements, non-compete agreements, escrow
agreements, employments agreements, etc.;
- Assisting in compliance with corporate and regulatory requirements, including foreign exchange
laws, company secretarial matters, etc., in relation to the transaction; and
- Taking lead, advising and assisting on all closing activities.
